An offtake agreement commits a corporate buyer or trading desk to purchase credits once issued. A forward purchase agreement goes further by allowing prepayment against future delivery.
The prepayment portion is what unlocks project development. Without it, the project must self-fund the verification period.
However buyers do not rely on project promises. They underwrite the operational structure prepared in the project finance stage.
Buyer Diligence Requirements
Before signing, buyers evaluate:
- verification methodology and registry eligibility
- delivery timelines and monitoring procedures
- replacement obligations if credits fail issuance
- legal ownership of environmental attributes
If these fail review, pricing is irrelevant. The transaction simply does not proceed.
Why Buyers Care About Structure

Prepayment And Delivery Protection
Forward buyers usually provide staged payments rather than a lump sum. Funds are released based on milestones: implementation, monitoring, validation, and issuance.
Contracts normally include:
- delivery schedules
- replacement obligations
- price adjustment clauses
- verification requirements
Where credits are already issued, projects may later use inventory financing instead of prepayments.
