1) Who Can Transact

  • 506(c) track (US): Individuals, family offices, trusts, entities — if accredited and verified.
  • 144A track (US): QIBs only (e.g., registered funds, insurers, pensions, certain banks and advisers meeting the QIB test).

  • Tax pack: US feeder reporting outline; Portuguese IMT/IMI overview; blocker note for tax-exempts.
